By accessing or using Focal Suite Marketplace, you agree to comply with these Terms and Conditions. If you do not agree, you may not use the platform.

1.2. User Responsibilities

All users (Vendors, Designers, and Sales Agents) must:

1. Provide accurate and complete registration information.

2. Maintain confidentiality of their account credentials.

3. Use the platform only for lawful purposes and in compliance with applicable laws.

1.3. Prohibited Activities

Users are strictly prohibited from:

1. Engaging in fraudulent or deceptive activities.

2. Uploading illegal, harmful, or copyrighted materials without authorization.

3. Using the platform to harass, abuse, or harm other users.

4. Circumventing or attempting to bypass platform security measures.

1.4. Payment Terms

1. All payments made through the platform are subject to processing fees as outlined in the fee structure.

2. Vendors, Designers, and Sales Agents will receive payouts in accordance with their membership agreements.

3. Refunds, if applicable, will follow the Refund Policy outlined separately.

1.5. Intellectual Property

1. All content uploaded to the platform remains the property of the respective user. By uploading, users grant Focal Suite a non-exclusive license to display, distribute, and promote the content within the platform.

2. Unauthorized reproduction or distribution of any platform content is prohibited.

1.6. Account Termination

Focal Suite reserves the right to suspend or terminate user accounts for violations of these Terms and Conditions or applicable laws.

2. Role-Based Agreements2.1. Vendor Terms

1. Responsibilities:

2. Vendors must ensure the accuracy of their product listings, including pricing, descriptions, and availability.

3. Vendors are responsible for fulfilling orders promptly and addressing customer inquiries or complaints.

4. Fees and Commissions:

5. Vendors are subject to transaction fees as outlined in their membership plans.

6. Vendors agree to share a portion of the transaction fee with Designers and Sales Agents as commissions, where applicable.

7. Licensing Agreements:

8. Vendors may purchase mockups or designs from Designers under specified licensing terms (e.g., Single-Use, Extended, Exclusive).

9. Vendors must adhere to the licensing restrictions associated with purchased content.

10. Prohibited Activities:

11. Vendors may not resell or redistribute designs without explicit permission.

12. Misrepresentation of products or services is strictly prohibited.

2.2. Designer Terms

1. Responsibilities:

2. Designers must upload original content and ensure all submitted work complies with copyright laws.

3. Designers agree to provide revisions or support as per the licensing agreement with Vendors.

4. Earnings and Payouts:

5. Designers will earn commissions based on mockup sales and licensing fees, as per their membership plan.

6. Designers agree that commissions are subject to platform processing fees.

7. Licensing Agreements:

8. Designers must specify the licensing terms (Single-Use, Extended, or Exclusive) for all uploaded content.

9. Designers retain ownership of their content unless an Exclusive License is sold.

10. Prohibited Activities:

11. Uploading plagiarized or stolen content is grounds for immediate termination.

12. Designers may not engage in direct transactions outside the platform with Vendors for listed designs.

2.3. Sales Agent Terms

1. Responsibilities:

2. Sales Agents are responsible for promoting products and designs listed on the platform.

3. Agents must use referral tools provided by the platform to track sales and commissions.

4. Earnings and Payouts:

5. Commissions will be calculated based on successfully referred sales.

6. Agents must comply with payout schedules and processing fees as outlined in their membership plans.

7. Prohibited Activities:

8. Misleading customers or providing false information to generate sales is strictly prohibited.

9. Sales Agents may not promote products outside approved referral tools and channels.

3. Dispute Resolution

1. Internal Resolution:

2. All disputes between users (e.g., Vendors and Designers) must first be addressed through the platform’s resolution tools.

3. Arbitration:

4. If disputes cannot be resolved internally, parties agree to binding arbitration in Malaysia.

4. Amendments to Terms
