1. Vendor Agreements
1.1. Commission Structures

Standard Pricing: Vendors in lower tiers must follow marketplace pricing rules.

Custom Pricing: Vendors in higher tiers can set their own pricing within platform guidelines.

Matrix Pricing: Advanced tiers may access matrix pricing tools for dynamic pricing.
1.3. Vendor Responsibilities

Ensure accurate product descriptions, pricing, and stock availability.

Deliver products/services as promised and within specified timelines.
-
Handle customer inquiries and complaints professionally.

Comply with all applicable laws and platform policies.
2. Designer Agreements2.1. Mockup Licensing

Designers grant the following licenses for their uploaded content:

Single-Use License: One-time use for a specific project.

Extended License: Unlimited use within the buyer’s account.

Exclusive License: Full ownership transferred to the buyer.

Designers retain intellectual property rights for non-exclusive licenses.
2.2. Payment Schedules

Designers will receive payouts according to the following schedule:

Payments are processed monthly, after verifying successful transactions.

2.3. Dispute Resolution

Designers must address disputes regarding their content directly with Vendors through the platform’s resolution tools.

Unresolved disputes will be escalated to the marketplace’s arbitration team for final decision-making.
3. Sales Agent Agreements3.1. Referral Terms

Sales Agents are provided with unique referral links or codes to track their sales.

Referral sales are credited only if the transaction is completed through the assigned link/code.
3.2. Commission Eligibility

Sales Agents earn commissions based on:

A fixed percentage of the transaction value for referred sales.

Eligibility criteria outlined in their membership tier.

Commissions are subject to marketplace processing fees and minimum payout thresholds.
3.3. Promotional Rules

Sales Agents must:

4. Enforcement and Dispute Resolution4.1. Breach of Contract

Suspension or termination of the user’s account.

Forfeiture of pending payouts for unresolved violations.

Legal action for severe breaches, including fraud or intellectual property theft.
4.2. Internal Resolution Tools

Focal Suite provides internal tools for users to resolve disputes amicably.

Parties must exhaust internal resolution options before escalating to arbitration.
4.3. Arbitration Clause

Unresolved disputes will be settled through binding arbitration under Malaysian law.

The arbitration decision will be final and enforceable.
5. Updates to Agreements
Focal Suite reserves the right to update these agreements at any time. Users will be notified of significant changes via email or platform notifications. Continued use of the platform after changes constitutes acceptance of the revised terms.
